These terms of service (“Terms”) govern your use of the website and virtual services subscribed via the website located at [www.seniorx.ai] (the “Platform”), operated by [Seniorx.ai] (“we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Platform.
- Use of the Platform
1.1. You must be at least 18 years of age to use the platform. By accessing or using the platform, you represent and warrant that you are at least 18 years of age.
1.2. You agree to use the Platform only for lawful purposes and in accordance with these Terms.
1.3. You agree not to use the Platform:
(a) in any way that violates any applicable federal, state, local, or international law or regulation;
(b) to engage in any conduct that is unlawful, threatening, harmful, abusive, harassing, defamatory, vulgar, obscene, offensive, or otherwise objectionable;
(c) to impersonate or attempt to impersonate any person or entity;
(d) to upload, post, email, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or
(e) to upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
1.4. The website provides a platform to connect individuals and/or organizations with other individuals and/or organizations for the purpose of information sharing only. This is not to be considered as promoting any specific product or service.
- Intellectual Property
2.1. The contents, assessment questions, features, and functionality of the Platform (including, but not limited to, all information, software, text, displays, images, video, audio, and their design, selection, and arrangement) are the property of Seniorx.ai, its licensors, or other providers. They are protected by United States and international laws governing copyright, trademark, patent, trade secret, and other intellectual property rights.
2.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use only.
- Privacy Policy
3.1. Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference.
- Disclaimer of Warranties
4.1. Your utilization of the Platform carries inherent risk. The Platform is presented on an “as is” and “as available” basis, devoid of any warranties, whether express or implied. We explicitly disavow all statutory or inferred representations, warranties, terms, and conditions related to the service and all services, information, goods, and materials provided through the platform. These disclaimers include but are not limited to representations and warranties regarding satisfactory quality, merchantability, fitness for a specific purpose, non-infringement, and title.
4.2. We do not guarantee that the service (or any part of it) will be accurate, complete, or free of errors. Furthermore, we make no assurances regarding the compatibility of any particular software or hardware with the service. You acknowledge and accept that it is your sole responsibility to: (a) procure and cover the costs of any necessary software, hardware, and services (including internet connectivity) required to access and utilize the service, and (b) ensure that any software, hardware, and services you utilize will operate seamlessly with the service. You agree to assess and assume all risks associated with using the service, including any reliance on the accuracy, completeness, or utility of any information or materials provided through the service.
- Limitation of Liability
5.1. All content shared on the Platform is for informational purposes only and is not intended to promote any specific products or services.
5.2. Under no circumstances shall Seniorx.ai, its affiliates, or their respective officers, directors, employees, or agents be held liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with your use of the platform or any third-party product or service listed on the platform. This includes damages for loss of profits, loss of use, loss of data, loss of other intangibles, loss of security of information you have provided in connection with your use of the service, or unauthorized interception of any such information by third parties, even if we have been advised in advance of such damages or losses. Additionally, we disclaim liability for damages of any kind resulting from your use of the service or from any information or materials provided on the service.
5.3. To the fullest extent allowed by applicable law, we disclaim all representations, warranties, and conditions concerning our Platform and the utilization of this platform. Nothing in this disclaimer will:
- limit or exclude our or your liability for death or personal injury;
- limit or exclude our or your liability for fraud or fraudulent misrepresentation;
- limit any of our or your liabilities in any way that is not permitted under applicable law; or
- exclude any of our or your liabilities that may not be excluded under applicable law.
5.4. For test takers,
- SeniorX.AI does not guarantee any specific outcome, certification recognition, or job placement based on test results.
- SeniorX.AI is not responsible for technical failures, such as internet connectivity issues on the user’s end, which may impact test completion
- Test takers are responsible for ensuring they have a stable internet connection and a functioning device before taking the assessment.
- By registering for the assessment, users acknowledge that they are taking the test independently and without outside assistance.
- Any attempt to cheat, plagiarize, or engage in fraudulent activity will result in: Immediate invalidation of test results with No refund eligibility and permanent disqualification from future SeniorX.AI assessments.
- Indemnification
6.1. Except to the extent prohibited under applicable law, all product companies and medical providers agree to indemnify, defend, and hold harmless Seniorx.ai and its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, or expenses, including attorneys’ fees and costs, that may arise from or in connection with (a) your use of, or activities in connection with, the Platform, including use of any good, product, or service listed on the platform, (b) violation of these Terms by you, and (c) the acts or omissions of any other User.
6.2. If you fail to promptly indemnify and defend a covered claim, Seniorx.ai reserves the right to undertake its own defense. In such cases, you are obligated to promptly reimburse Seniorx.ai for all related costs and expenses. Furthermore, Seniorx.ai maintains the right, at its own expense, to assume sole defense and control of any matter otherwise subject to your indemnification.
- Links to other websites
7.1. The Platform may include links to third-party websites (“Linked Sites”). Seniorx.ai has not reviewed all the information on these Linked Sites, does not maintain them, and cannot control the completeness, accuracy, or security of their content. The content, including materials and information, on any Linked Site is the sole responsibility of the provider of that Linked Site. Seniorx.ai is not accountable for the contents of any Linked Site, and the inclusion of a link to a Linked Site does not imply endorsement by Seniorx.ai. The views and opinions expressed on Linked Sites belong to the authors or third parties and may not reflect the official policy or position of Seniorx.ai. If you choose to access any Linked Site, you do so entirely at your own risk. Mentions of third-party names, marks, products, or services, as well as third-party information or Linked Sites, are provided solely for your convenience and do not imply endorsement, sponsorship, recommendation, or affiliation with the third party or its products and services. Seniorx.ai does not make any representation or warranty regarding the content, products, or services of Linked Sites, and you agree that Seniorx.ai shall not be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, products, or services available on or through any Linked Site or similar resource.
7.2. As permitted by applicable law, we shall under no circumstances be liable for any direct, indirect, incidental, or special loss, or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright, or other intellectual property rights, caused by the exhibition, or exploitation of any information or content contained within these third-party services.
- Payment terms and fees
8.1. Certain functionalities of the platform, such as subscribing to a membership or registering for listing on the platform, may necessitate payments, including commissions or other fees. Any fees imposed by Seniorx.ai for your use of or access to the platform must be settled immediately upon charge and are non-refundable. This no-refund policy remains effective at all times, irrespective of whether you choose to discontinue your usage, our decision to terminate your usage, disruptions to our platform, whether planned, accidental, or deliberate, or for any other reason. Seniorx.ai reserves the right to determine and modify any payment terms, rates, mechanisms, or structures at any time, providing notice to you. Seniorx.ai may, at its discretion, offer credits or refunds on a case-by-case basis.
8.2. Fees will be displayed in United States Dollars. By confirming your purchase at the end of the checkout process, you agree to accept and pay the fees as well as all applicable taxes and currency conversion fees.
8.3. Seniorx.ai might utilize third-party services, like Zelle or PayPal, for payment processing, each governed by its distinct terms of service. Although Seniorx.ai will endeavor to maintain the security of all payment details, such as credit card or bank account numbers, Seniorx.ai explicitly disclaims liability for any harm resulting from unauthorized access to such information by third parties. By using these services, you agree to indemnify Seniorx.ai against any damages arising from such incidents.
8.4. You affirm and guarantee that you possess the rightful authority to utilize any credit card or alternative payment method you furnish to us. All billing details provided to us must be current, comprehensive, truthful, and precise. You consent to promptly revise your account and related information, including email addresses, credit card numbers, and expiration dates, to facilitate the fulfillment of transactions and ensure effective communication. Providing any falsified or erroneous information constitutes a violation of these Terms and may result in the annulment of your order. Before approving an order, we may request further details from you. Verification of such information may be necessary before we acknowledge or finalize any transaction.
8.5. Seniorx.ai will compensate you for your services in delivering the information sessions at the rate and schedule agreed upon at the time the services were rendered. Seniorx.ai reserves the right to change the rate and schedule of compensation at any time and in its sole discretion.
8.6. Non-employees of Seniorx.ai are solely accountable for all taxes arising from compensation and other payments made by Seniorx.ai, including payroll taxes and fringe benefits. Seniorx.ai will not withhold or remit any federal, state, or local income taxes or payroll taxes on your behalf. You understand that it is your responsibility, as required by law, to settle your taxes, and if requested by Seniorx.ai, to furnish appropriate documentation demonstrating payment of all federal and state taxes. At the end of the tax year, you may receive a Form 1099. You agree to indemnify Seniorx.ai against any claims arising from late or non-payment of these taxes.
8.7 Users registering for assessments must pay the full assessment fee at the time of registration via the payment gateway on SeniorX.AI. Payments are non-transferable and must be completed before accessing the assessment. Refunds are only issued under the following conditions: Technical issues that prevent access to the assessment (e.g., website/system failure caused by SeniorX.AI) or Duplicate payments made for the same assessment.
No refunds will be issued if the test taker fails to complete the assessment due to personal reasons, violates the Terms of Service (e.g., engaging in plagiarism or attempting to cheat).
Refund requests must be submitted in writing to contactus@seniorx.ai within 7 days of the scheduled assessment.
- Termination and suspension
9.1. Seniorx.ai retains the authority to terminate or suspend your access to the Platform at its discretion and without prior notice, for any reason. This includes, but is not limited to, violations of the terms outlined in this Agreement or any Seniorx.ai policy posted on the platform, or engaging in unlawful or inappropriate conduct related to your use of the Platform. In the event of termination or suspension, Seniorx.ai is not obligated to refund any unused fees or credits in your account. Furthermore, Seniorx.ai reserves the right to pursue legal action, including civil, criminal, and injunctive measures, as deemed appropriate. Despite the termination or suspension of your access, this Agreement shall continue to be binding regarding your previous use of the Platform.
- Consent to receive calls, messages and emails
10.1. By furnishing your mobile number and/or email address to us, you consent to receiving communications from or on behalf of Seniorx.ai at the provided mobile number and/or email address. This may include phone calls or text messages, for the purpose of receiving transactional notifications regarding the Platform. You acknowledge that text messaging is inherently less secure and agree to receive text messages irrespective of their associated security level. Standard message and data rates may be applicable. For assistance concerning the communications exchanged via your phone number, please reach out to us directly.
- Modifications to the Platform
11.1. Seniorx.ai retains the sole discretion to evaluate, enhance, amend, or cease, either temporarily or permanently, the platform or any of its content or information, with or without prior notice. Seniorx.ai shall not be held accountable to any party for any alterations or discontinuation of the platform, whether in part or in its entirety.
- Operation and Record Retention
12.1. Seniorx.ai maintains full and exclusive discretion concerning the operation of the Platform. This includes the ability to withdraw, suspend, or terminate any functionality or feature of the platform. In accordance with relevant regulations, Seniorx.ai also reserves the right to retain, delete, or dispose of all communications and materials posted or uploaded to the platform, as per its internal record retention or destruction policies..
- Nondisclosure and Confidentiality
13.1. When using the Platform, you may gain access to confidential and proprietary information regarding Seniorx.ai, its operations, as well as its members, customers, licensors, and suppliers. Any information provided by Seniorx.ai for your use remains the sole property of Seniorx.ai, its customers, licensors, or suppliers. The term “Confidential Information” covers various data, materials, and information related to or associated with Seniorx.ai’s platform, products, business, services, or activities. This encompasses proprietary software or data, marketing strategies, customer details, financial information, and trade secrets. The confidentiality obligation does not apply to information that: (a) is publicly available through no fault of the recipient; (b) is lawfully obtained from an unaffiliated third party not bound by a confidentiality agreement; (c) is mandated to be disclosed by government regulations or court orders; or (d) was lawfully possessed by the recipient prior to receiving the information.
13.2. You are obligated to maintain and diligently protect the privacy and security of all Confidential Information indefinitely, keeping it strictly confidential. You must not disclose, or permit its disclosure, to any individual without prior written approval from Seniorx.ai. If authorized by Seniorx.ai, disclosure should only occur to the extent necessary for participation in or access to the Platform.
13.3. You shall safeguard all protected health information (“PHI”) as required by the Health Information Portability and Accountability Act of 1996 (“HIPAA”) and the Health Information Technology for Economic and Clinical Health (“HITECH”) Act.
13.4. You are required to establish and sustain suitable administrative, physical, technical, and procedural safeguards to preserve the confidentiality of all Confidential Information. These measures should aim to counter reasonably anticipated threats or risks and thwart unauthorized use or disclosure of Confidential Information obtained through the Service, except as permitted by this Agreement or mandated by law. Such safeguards must adhere to all relevant federal, state, and local regulations, as well as any security protocols and controls periodically stipulated by Seniorx.ai, its licensors, and suppliers.
13.5.In addition to the above, you agree to implement all required measures to guarantee the privacy and security of all Confidential Information, including but not limited to: (i) to use the Platform and the Confidential Information only as needed to perform your responsibilities; (ii) not to access, use, or disclose any Confidential Information that you have no prior legitimate authorization to access, use, or disclose; (iii) to restrict physical and system access to the platform or other equipment which contains Confidential Information (such as by diligently locking and monitoring office premises and requiring password verification to gain access to desktop computers); and (iv) implementing all required policies and procedures to ensure compliance with applicable state law.
13.6. You shall immediately notify and cooperate fully with Seniorx.ai in the event you discover or suspect: (a) any unauthorized use of or access to the platform; (b) any inappropriate use or disclosure of information contained in or obtained through use of the platform; or (c) the recognition or introduction of any virus, worms, trojan horses and other destructive items.
13.7. Upon expiration or termination of this Agreement, you will return any Confidential Information in your possession to Seniorx.ai and delete or destroy any copies you may possess. Improper disclosure of any of Seniorx.ai’s Confidential Information is a material breach of this Agreement. The provisions of this section shall survive expiration or termination of this Agreement for any reason.
13.8. An individual shall not face criminal or civil liability under any Federal or State trade secret law for revealing a trade secret confidentially to a Federal, State, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of the law. An individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. An individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding, if the individual files any document containing the trade secret under seal; and does not disclose the trade secret, except pursuant to court order.
13.9. Test takers may NOT:
- Copy, distribute, share, publish, or reproduce assessment questions, scoring rubrics, test results, or any related content in any form.
- Use screen recording, screenshots, or other capture tools to save or distribute test content.
- Upload, share, or post any assessment-related content on third-party platforms (including online forums, social media, or review sites).
- Sell, rent, or otherwise monetize access to the digital assessment or related materials.
- Non-circumvention and Non-solicitation
14.1. Seniorx.ai includes this restricted non-circumvention and non-solicitation clause to safeguard against the direct utilization of Seniorx.ai’s Confidential Information to bypass Seniorx.ai’s contractual engagements with its clients. You consent to abide by this limited provision, wherein you refrain from leveraging the Confidential Information to (a) directly or indirectly instigate, solicit, negotiate, contract, or engage in any business dealings, agreements, or ventures with any such Member or third party identified or introduced by Seniorx.ai; or (b) seek to by-pass, compete, avoid or circumvent Seniorx.ai from any business opportunity that relates to the platform by utilizing the Confidential Information or by otherwise exploiting or deriving any benefit from the Confidential Information.
You shall not, for yourself, or on behalf of any other person, firm, partnership, corporation, or company, (a) call on, solicit, or take away any of Seniorx.ai’s customers or potential customers which you became aware of as a result of performing services under this Agreement, or (b) solicit or hire away any of Seniorx.ai’s employees or contractors which you became aware of as a result of performing services under this Agreement, during the Term of this Agreement and for a period of twelve months after termination of the Agreement. The provisions of this section shall survive expiration or termination of this Agreement for any reason.
- Governing Law
15.1. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles.
- Severability
16.1. You and Seniorx.ai agree that if any portion of these Terms is found illegal or unenforceable, that portion will be construed to be enforceable to the maximum extent permitted by law and the remainder of the Terms will remain valid and enforceable to the maximum extent permitted by law.
- No Agency
17.1. These Terms do not establish or imply any agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship.
- Entire Agreement and Notice
18.1. These Terms, including the Privacy Policy, constitute the entire agreement between you and Seniorx.ai with respect to the Service and supersedes any previous version of these Terms. Failure by Seniorx.ai to enforce any provision of these Terms will not be construed as a waiver of any provision or right. These Terms will inure to the benefit of Seniorx.ai and its successors and assignees.
- Changes to the Terms
19.1. We reserve the right to modify or amend these Terms at any time. Any changes will be effective immediately upon posting to the website. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.
- Media Consent and Release
20.1. By agreeing to this Agreement, you authorize Seniorx.ai and its respective licensees, advertising agencies, promotion agencies, fulfillment agencies, and all individuals associated with them (collectively referred to as “Authorized Persons”) to photograph, record, reproduce, transmit, broadcast, create, publish, and utilize your likeness, legal name or fictitious name, quoted remarks, testimonials, interviews, audio recordings, photographs, and video recordings, in which you may appear in whole or in part. This includes any copies, reproductions, or derivative works thereof (collectively referred to as the “Materials”), in any manner and in any and all media formats now known or developed in the future. Such usage may encompass printed materials, television or online broadcasts, social media posts, and other channels, for purposes such as advertising, trade, display, exhibition, editorial use, illustration, promotion, art, or any other lawful purpose, without requiring any payment, monetary compensation, or other form of consideration.
20.2. You agree to engage in the recording or production of such Materials and forfeit any right you may hold to review or authorize the Materials or their usage. Additionally, you waive any claims to the Materials and recognize that they are the sole and exclusive property of the Authorized Persons, with all associated rights, titles, and interests belonging to them.
20.3. You hereby release, discharge, and agree to indemnify and hold harmless the Authorized Persons from any and all claims, demands, liabilities, actions, suits, losses, damages, costs, and expenses (including attorneys’ fees) of any nature whatsoever that may arise from or be related to the recording, creation, and utilization of the Materials, as well as your inclusion therein. This includes, but is not limited to, claims for defamation, distortion, alteration, or infringement of any privacy, publicity, intellectual property, or other personal or property rights. Additionally, you release any claims for compensation or royalties pertaining to the Materials or the use of your name or likeness.
